Return and Warranty Terms

In these terms and conditions (“Conditions”), the following definitions apply:

  • Gentec Automation: Refers to Gentec Automation and any subsidiary or affiliate company operating under its name.
  • Applicable Law: Refers to any relevant law, statute, regulation, or by-law in effect at any given time, including but not limited to anti-bribery and data protection laws.
  • Business Day: A day (excluding Saturdays, Sundays, or public holidays) when banks in the region are open for business.
  • Conditions: The terms and conditions outlined in this document, subject to amendments as specified in clause 17.2.
  • Contract: The agreement between Gentec Automation and the customer (“Customer”) for the provision of Goods, Services, Repairs, and/or Testing, incorporating the Order, Order Confirmation, and these Conditions.
  • Customer: The entity or individual submitting an Order to Gentec Automation.
  • Customer Default: As defined in clause 7.2.
  • Factory New Goods: Goods supplied in their original manufacturer’s packaging.
  • Force Majeure Event: Any event beyond the reasonable control of the affected party, hindering their ability to fulfill contractual obligations, including but not limited to natural disasters, pandemics, acts of war, or industrial disputes.
  • Goods: The products (including Factory New Goods and Non-Factory New Goods) specified in the Order or Order Confirmation issued by Gentec Automation.
  • Goods Specification: The provided description of the Goods.
  • MSA: Refers to the Modern Slavery Act 2015.
  • Non-Factory New Goods: Goods that are not classified as Factory New Goods.
  • Order: A formal or informal request (via writing, email, or verbal communication) from the Customer for Goods, Services, or Repairs.
  • Order Confirmation: A confirmation issued by Gentec Automation in response to an Order, which may include an invoice, delivery of Goods, or provision of Services.
  • Price: The agreed price for Goods, Services, and/or Repairs as specified in the Order Confirmation.
  • Gentec Materials: All materials, documents, equipment, and other property provided by Gentec Automation.
  • Repair Items: Items submitted by the Customer to Gentec Automation for Repairs.
  • Repaired Items: Items that have undergone Repairs by Gentec Automation.
  • Service Specification: The written description or details of the Services provided by Gentec Automation.
  • Services: Includes Repairs, Testing, and on-site services offered by Gentec Automation or its subcontractors as detailed in the Service Specification.
  • Testing: The process of inspecting, cleaning, and verifying items supplied by Customers.
  • Warranty Period: As defined in clause 4.1.
